1. Acceptance of Protocols

By accessing or utilizing NexisDigital's infrastructure, you agree to be bound by these Terms of Service. Our services are provided 'as is' without warranty of any kind. If you do not agree to all terms and conditions, you must immediately disconnect from our ecosystem.

2. Master Service Agreements (MSA)

All high-level enterprise contracts are negotiated individually via our B2B Deals network. We establish custom MSAs and Statements of Work (SOWs) that strictly define project deliverables, liabilities, timelines, and intellectual property transfers. There are no generic templates; every architecture is tailored.

3. Governing Law & Jurisdiction

NexisDigital operates within a globally distributed legal framework. Any disputes arising from these Terms or our MSAs shall be exclusively governed by the laws of the applicable primary jurisdiction where the edge servers are provisioned, without regard to conflict of law principles.

4. Intellectual Property Assignment

Upon full execution of payment terms, all intellectual property rights, including source code, Next.js server components, Knowledge Graphs, and Answer Engine semantic structures developed during the project, are irrevocably transferred to the client. NexisDigital retains no ownership over the finalized architectures.

5. Limitation of Liability

In no event shall NexisDigital, its engineers, or its affiliates be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use our digital architectures. Our total liability is strictly capped at the amount paid under the specific Statement of Work.
